3. Services & Engagement

• Any additional work outside the agreed scope will require separate approval and may incur extra charges
• We do not guarantee specific results such as sales, revenue, leads, or rankings, as results depend on multiple external factors beyond our control

4. Payments & Fees

• All fees are communicated and agreed upon before service initiation
• Payments must be made on time as per the agreed schedule
• Late payments may result in service suspension or termination
• All payments are non-refundable unless explicitly stated otherwise in writing
• We reserve the right to revise pricing with prior notice

5. Intellectual Property

• All original content, creatives, strategies, designs, and materials created by Skybound Socials remain our intellectual property until full payment is received
• Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the deliverables for their business
• We reserve the right to showcase completed work in our portfolio, case studies, or marketing materials unless otherwise agreed in writing

6. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information required for service delivery
• Grant timely access to platforms, assets, and approvals
• Ensure their business, content, and offers comply with all applicable laws and platform policies

We are not responsible for delays or performance issues caused by incomplete or delayed client inputs.

7. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties unless required by law or with written consent.

8. Limitation of Liability

To the maximum extent permitted by law:

• Skybound Socials shall not be liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the total amount paid by the Client for services rendered
• We are not responsible for platform bans, ad account suspensions, or algorithm changes

9. Third-Party Platforms & Tools

We may use third-party tools and platforms (e.g., Google, Meta, analytics tools). We are not responsible for outages, policy changes, or actions taken by these platforms.

10. Termination

• Either party may terminate services with written notice as per the agreed contract or proposal
• Outstanding dues must be cleared upon termination
• No refunds will be issued for work already completed or time already allocated

11. Indemnification

You agree to indemnify and hold Skybound Socials harmless from any claims, damages, losses, or expenses arising from:

• Your business operations
• Your content, offers, or products
• Violations of laws or platform policies

12. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of India, without regard to conflict of law principles.

13. Changes to Terms
